The two days are structured around three equally weighted imperatives:

Fiduciary Framing We establish a shared understanding of what AI governance actually demands of a bank board – distinct from management’s role. This includes the regulatory horizon your institution faces, the ethics exposures specific to your business model, and the principles that must be non-negotiable regardless of what management proposes.

Strategy Endorsement The board reviews and formally endorses the institution’s AI strategic direction – stress-testing it against fiduciary KPIs (ROE, CET1, NIM), ethics boundaries, and long-term institutional resilience. This is not rubber-stamping. It is informed, rigorous validation.

Governance Mandate Setting The retreat concludes with the board defining its oversight architecture: committee responsibilities, reporting cadence, escalation paths, ethical red lines, and the assurance mechanisms by which the board will hold management accountable going forward.
